Entry Eligibility: Entry to the Tournament is limited to 1 x Racehorse per Entrant holding a NASCAR ZED Pass as at 14 April 2022 at 12:01am UTC.
Total Prize Pool: Maximum prizes of $75,000 USD of wETH, 8 x Double Garage Passes and Grandstand Tickets to the Sparks 300 NASCAR Xfinity Series race on 2 October 2022 at the Talladega Superspeedway.
Bot means any non-human programmatic control of any feature of ZED RUN, including and especially entering Racehorses into Races.
End Date means the time and date the Tournament ends (namely the last Race is complete).
Entrant means the legal person associated with the Wallet in which a Racehorse is held.
Racehorse means a NFT “horse” interoperable with ZED RUN.
NASCAR ZED Pass means the NASCAR and ZED RUN branded ERC-1155 token with contract address 0x495f947276749Ce646f68AC8c248420045cb7b5e
NFT means ‘non-fungible token’ being a blockchain cryptographic asset with unique features including and especially (but without limitation) tokens developed using the ERC-721 Non-Fungible Token Standard and the ERC-1155 Multi-Token Standard for the Ethereum blockchain.
Prizes means the designated award for achieving a particular outcome in the Tournament.
Prize Winner means an Entrant that is awarded a Prize in the Tournament.
Race means a ZED RUN race in the Tournament.
Race Entry Fee means the consideration paid by an Entrant to participate in a Race.
Start Date means the time and date that the Tournament starts.
Tournament means this limited series of Races and Prizes known as the “NASCAR ZED PASS Talladega Cup Tournament April 2022.”
Tournament Entry Fees means the consideration paid by an Entrant to participate in the Tournament (if any).
Tournament Program means the specific format, timing, eligibility, points, rules, Race sequencing and so forth published by VHS which sets out the manner in which the Tournament will be conducted.
Tournament Terms means these terms and conditions specific to the Tournament.
VHS means Virtually Human Studio Pty Ltd ABN 90 636 113 409, the publisher of ZED RUN.
Wallet means an application that can store and manage digital assets, in particular wETH and Racehorses, and includes MetaMask.
wETH means a wrapped-Ethereum token.
Winner means an Entrant that has achieved that qualifies them for a Prize.
Winning Racehorse means a Winner’s Racehorse.
ZED RUN means the interactive virtual horseracing game known as ZED RUN, published by VHS and accessible at https://zed.run
By entering the Tournament, the Entrant does so subject to these Tournament Terms in addition to the ZED RUN Terms.
To the extent of any conflict between these terms and the ZED RUN Terms, these terms shall prevail.
To the extent of any conflict between the Tournament Program and these Tournament Terms, these Tournament Terms shall prevail.
All Entrants must be at least the age of 18 on the Start Date.
The Entrant agrees that they will not cheat or in any way inappropriately manipulate the outcome of any part of the Tournament.
VHS may disqualify any Entrant it reasonably believes is in breach of these Tournament Terms, the ZED RUN Terms, the Tournament Program and/or is likely to diminish the integrity of the Tournament.
The Tournament Program shall be as published by VHS in its absolute discretion.
VHS may vary the Tournament Program at any time until the Start Date.
As a condition of hosting the Tournament, the Tournament may be cancelled at any time by VHS for any reason in its absolute discretion. If a Tournament is cancelled, VHS’ maximum liability will be to refund any Race Fees or Tournament Fees paid by Entrants.
VHS shall appoint one or more persons to validate the outcome of the Tournament. The decision of those persons is final.
Prizes shall be awarded within 3 days of the completion of the Tournament.
Prize shall be awarded in wETH at the USD-equivalent using the exchange rate published on Coinbase at the time of payment.
VHS may permit Winners to nominate a Wallet to receive their Prize before the Prize is awarded, otherwise VHS is authorised to award the Prize to the Wallet associated with the Winning Racehorse.
VHS reserves the right to require Winners to identify themselves prior to being awarded the Prize. Failure to provide evidence of identity and residential address may result in forfeiture of the Prize.
Any violation of these Tournament Terms or the ZED RUN Terms during the Tournament (even if not associated with the Tournament) shall immediately disqualify the Entrant from receiving any Prize. The Entrant agrees that it will return any Prize in full to VHS in such a case, and indemnifies VHS for its costs in enforcing its right of return.
Any Prizes forfeited shall not alter the Prizes awarded to other Winners unless determined otherwise by VHS in its absolute discretion.
VHS disclaims all liability for any error and omissions with respect to the Tournament, any data about Races or the Tournament, or for the presentation of any such data by third parties.
Other than under item 9 above, VHS has no liability to any Entrant in respect of the Tournament and as a condition of entry each Entrant releases and indemnifies VHS from any liability with respect to the Entrant’s participation in the Tournament.
The Tournament is conducted from and subject to the laws of the state of Victoria, Australia.
